Terms of Service

By accessing or using Lumina, including our website at lumina.viberyte.com, mobile application, partner portal, and NightLink pages (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services. These Terms constitute a legally binding agreement between you and Viberyte LLC ("Viberyte", "we", "us", "our").

You must be at least 18 years old to use the Services. By creating an account, you represent that you are at least 18 and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business, you represent that you have authority to bind that business.

You are responsible for maintaining the security of your account credentials. You agree to provide accurate, current, and complete information during registration. You are responsible for all activity under your account. Notify us immediately at support@viberyte.com if you believe your account has been compromised.

Lumina provides nightlife discovery, venue information, event listings, and AI-powered recommendations. We curate venue information from public sources and partner submissions. While we strive for accuracy, we do not guarantee that all venue details (hours, pricing, availability) are current. Lumina is not responsible for your experience at any venue.

Venue Pages: Partners can claim and manage public venue pages ("NightLink pages") to display business information, events, menus, and accept bookings.

Subscriptions: NightLink is offered as a paid subscription service. Pricing, features, and tiers are described at the time of purchase. Subscriptions are billed monthly through Stripe and renew automatically until cancelled.

Cancellation: You may cancel your subscription at any time through your partner dashboard or by contacting us. Cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

Payment Processing: Partners keep 100% of booking and event payments collected through the platform. Viberyte does not charge transaction fees on partner revenue. Subscription fees are separate from booking revenue.

By connecting your Instagram account to Lumina, you authorize us to access your public profile information and media as described in our Privacy Policy. You represent that you have the right to connect the Instagram account and that the account belongs to or is authorized by the venue you are claiming. We may verify venue ownership through Instagram account matching. Misrepresenting venue ownership may result in account termination.

Your Content: You retain ownership of content you upload or create through the Services (photos, event details, menus, marketing graphics). By posting content, you grant Viberyte a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that content in connection with the Services.

Our Content: The Lumina name, logo, design, and proprietary features are owned by Viberyte. Marketing graphics generated through the Marketing Studio include a "lumina" watermark on non-Pro tiers. You may not remove or alter this watermark unless you are on a qualifying paid tier.

Prohibited Content: You may not upload content that is illegal, infringing, defamatory, harassing, or that promotes violence or discrimination.

Lumina facilitates connections between consumers and venues. Bookings made through the platform create an agreement between the consumer and the venue, not with Viberyte. We are not responsible for disputes between consumers and venues regarding bookings, pricing, availability, or service quality. Venues are responsible for honoring confirmed bookings.

Viberyte may create demo venue pages using publicly available information to demonstrate the platform. These pages are marked as unclaimed and may include publicly sourced photos, hours, and event data. Venue owners may claim these pages through our verification process. If you are a venue owner and wish to have an unclaimed page removed, contact us at support@viberyte.com.

You agree not to: use the Services for any unlawful purpose; attempt to gain unauthorized access to any part of the Services; scrape, crawl, or automate access to the Services without permission; impersonate another person or entity; interfere with the proper functioning of the Services; use the platform to send unsolicited messages or spam.

We may suspend or terminate your account at our discretion if you violate these Terms or engage in conduct we deem harmful to the platform or other users. You may delete your account at any time by contacting support@viberyte.com. Upon termination, your right to use the Services ceases immediately. Content you have posted may remain cached or archived by third-party services beyond our control.

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or secure. We are not responsible for the accuracy of venue information provided by third parties or partners.

To the fullest extent permitted by law, Viberyte shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.

You agree to indemnify and hold harmless Viberyte, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms.

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law provisions. Any disputes shall be resolved in the courts located in Essex County, New Jersey.

We may modify these Terms at any time. We will notify you of material changes by posting a notice on the website or sending an email. Continued use after changes constitutes acceptance.
